  • Hans Jacobsson was elected chairman to lead the annual general meeting.
  • At the meeting, 81,697,745 shares out of a total of 163,348,380 shares were represented, which corresponds to approximately 50% of the votes.
  • The meeting decided to adopt the income statement and balance sheet and the members of the board of directors and the CEO were granted discharge from liability for the financial year.
  • The meeting decided to distribute SEK 0,02 per share for the 2022 financial year and to carry forward the remaining portion of the retained earnings.
  • The meeting decided that board fees will be paid at 1,5 price base amounts to board members who are not employed by the group, and 2 price base amounts to the chairman of the board.
  • For the period until the next Annual General Meeting, Hans Jacobsson was elected as Chairman (re-election) and Lena F Stenberg (new election), Lisa Nilsson (re-election), Gabriele Helmer (re-election), Stefan Winström (re-election) and Peter Westman (re-election) were elected as regular members. The previous member Rune Nordström has declined re-election and was therefore dismissed at the meeting.
  • For the period until the next Annual General Meeting, BDO i Göteborg AB was elected as auditors with Katarina Eklund as the auditor in charge.
  • Decision on a nomination committee consisting of representatives of the three largest owners as of September 30, 2023.
  • The meeting decided to change the number of shares in the articles of association to a minimum of 9,400,000 and a maximum of 37,600,000.
  • The meeting decided on a reverse split whereby 10 shares are combined into one share (1:10). The board of directors was authorized to set the record date for the split, which shall fall after the record date for the dividend.
