THINC COLLECTIVE launches new full-service digital agency; Tundran Digital Explorers AB

Thinc Collective AB (publ) (Thinc or the Company) announces that the Company's subsidiaries Tigerton AB (Tigerton), Do Nothing Average AB (DNA Agency) and the Thinc Digital Labs business area (TDL - currently part of Nowa Kommunikation AB) have today entered into an agreement to combine the Group's digital communication operations under a new brand. The deal is made by Tigerton acquiring 100% of the shares in DNA Agency. The transfer is made through a non-cash issue and the shareholders in DNA Agency become shareholders in Tigerton through the transaction, whereby Thinc, which owned 70% of Tigerton and 74% of DNA Agency before the transaction, will own 70,2% of Tigerton after the transaction. The transfer of TDL is made through a transfer of assets but without a change in ownership. The takeover will take place as of September 1, 2023.

BACKGROUND AND REASONS FOR THE MERGER

The merger between Tigerton, TDL and DNA Agency is a result of Thinc's efforts to develop and strengthen the group. The companies, which complement each other well in web development, digital strategy and creative communication, will increase their ability to handle larger and broader projects for larger clients and be able to manage the entire chain in a digital conversion. In addition, synergies will arise in administration and management. The plan is that the new group, after a decision at an extraordinary general meeting in September, will change its name to Tundran Digital Explorers AB (Tundran) and that the companies will later merge. Lena F Stenberg, who was previously CEO of DNA Agency, will become CEO of the new unit.

About Tigerton

Tigerton AB is a web agency with a focus on the development, operation and support of websites using WordPress as a CMS. The company is operated from central Gothenburg. Tigerton had a turnover of approximately SEK 8 million in 2022 with a profit after financial items of approximately SEK 1,3 million.

Thinc already owns 70 percent of the outstanding shares in Tigerton. After the transaction, Thinc owns 70,2 percent, founders Markus Axelsson and Tony Svensson 14,4 percent each, and Lena F Stenberg 1,1%.

Do Nothing Average Agency AB (DNA Agency)

DNA Agency is a creative communications agency that moves freely between different media channels based on the client's goals to communicate the best of the customer. DNA is particularly focused on retail, graphic design and creative concepts to develop communication and support sales forces with relevant sales material. This can apply to everything from packaging design to packaging the message in film, moving graphics or on radio. The agency is run from central Gothenburg. DNA Agency had a turnover of approximately SEK 5,3 million in 2022.

Thinc Digital Labs (TDL)

TDL is a business area and a unit within the group that focuses on digital strategy and content-driven exposure and communication. The area, which is led by Åsa Langmaid and has two employees, has an annual turnover of approximately SEK 2,8 million within the framework of Nowa Kommunikation, where the business area has been based until now.
